Q.Can the Board arbitrarily remove and replace an officer?

A.Yes. If the Board decides that a president, secretary or treasurer is no longer effective in his or her office, the Board can, at any time, remove that officer and select a replacement to fill the position. If the person so removed was also a Board member, the person removed will continue to sit on the Board with all of the rights, powers, and duties of a director.
